Important notice:
These Terms are written to reflect E12’s current product behaviour for operational use. Before public launch, qualified legal counsel should still review the operating entity, governing law, liability limits, and dispute-resolution provisions.
Welcome to E12 (“Platform”, “we”, “us”, or “our”). E12 is a business discovery and engagement platform connecting Canada and Hong Kong, available at e12.ca and e12.hk.
By using the Platform, browsing content, or creating an account, you agree to these Terms of Use and our Privacy Policy. If you use E12 on behalf of a business, you confirm that you have authority to bind that business to these Terms.
1. Overview of the service
E12 provides business search, comparison, profile browsing, reviews, bookings, quote requests, messaging, business dashboards, AI matching, and related tools. Some directory listings may originate from public or licensed sources for businesses to claim and improve. We may improve, update, or interrupt features and may implement maintenance mode when reasonably necessary.
2. Eligibility and accounts
- You must have legal capacity to enter a binding agreement where you live;
- You must provide accurate, current, and complete registration information and keep it updated;
- You must safeguard your login credentials and are responsible for activity under your account;
- Notify us promptly through the contact form if you suspect unauthorized use;
- We may refuse, suspend, or terminate accounts that violate these Terms or pose a security risk.
3. Listings, claims, and verification
- Business users may claim existing listings or submit new listings for review;
- You represent that you have lawful rights to the business information you submit and that it is truthful, accurate, and not misleading;
- Badges such as “Verified”, “Featured”, or “Sponsored” are administratively managed and do not guarantee quality, licensing, compliance, or performance;
- We may reject, edit, suspend, or remove listings to protect users, comply with law, or enforce these Terms;
- You must not claim or manage a business you do not own or are not authorized to represent.
4. User content and licence
“User content” includes listings, reviews, messages, photos, videos, posts, booking details, and quote information you submit.
- You retain your rights in user content;
- You grant E12 a worldwide, non-exclusive, royalty-free, sublicensable licence to use, reproduce, adapt, publicly display, and distribute user content as needed to operate, present, promote, back up, format, and improve the Platform;
- You confirm user content does not infringe third-party rights, violate law, or contain malware, fake reviews, spam, or privacy violations;
- We do not pre-screen all user content but may remove content following complaints or if we identify violations.
5. E12’s role and disclaimers
E12 helps users discover and contact independent third-party businesses. Unless a page expressly states otherwise:
- E12 is not a party to purchases, bookings, quotes, or service contracts between you and a business;
- E12 does not guarantee availability, pricing, response times, service quality, or transaction outcomes;
- addresses, contact details, hours, and descriptions in the directory may be incomplete or outdated;
- you should independently verify important details, professional qualifications, licensing, and contract terms;
- responsibility for transactions, services, or disputes with third-party businesses generally rests with those businesses and/or you.
6. Bookings, quotes, messaging, and reviews
- Bookings: booking requests submitted through E12 are sent to the relevant business, which may confirm, cancel, or mark them complete. Available time slots depend on business hours and Platform rules;
- Quotes: quote requests may be sent to up to three businesses; displayed fees or discounts are informational unless a separate payment flow is completed;
- Messages: in-platform messaging facilitates communication and should not be treated as E12’s endorsement of message content;
- Reviews: reviews should reflect genuine experience; fake, paid, or retaliatory reviews are prohibited and may be removed;
- you agree that relevant businesses and E12 may use your contact and request information to process transactions (see the Privacy Policy).
7. AI and automated features
E12 offers automated features such as AI Business Match, the E12 AI Assistant, company Q&A, and quote brief tools. You understand and agree that:
- AI outputs are generated automatically and may be incomplete, outdated, or inaccurate;
- AI results do not constitute professional, legal, financial, medical, or other regulated advice;
- you should independently verify AI-provided information before making important decisions;
- business owners may enable or disable Ask-AI on their company profile where available;
- where enabled, some AI interactions may be logged for security, support, and business review (see the Privacy Policy).
8. Paid plans and Stripe subscriptions
- plan, feature, and pricing information on the site is informational unless you complete checkout;
- where Stripe or other payment services are enabled, you agree to their terms;
- subscription price, billing period, taxes, cancellation, refunds, and plan-change rules will be shown before purchase;
- we may adjust plans and pricing for technical, legal, or operational reasons and will handle existing subscriptions according to applicable law and disclosed terms;
- Featured/Sponsored placement and quote-page lead fees do not constitute completed paid promotion or guaranteed lead delivery unless a separate paid flow is expressly completed.
9. Acceptable use
You must not use E12 to:
- engage in fraud, impersonation, harassment, defamation, discrimination, or unlawful activity;
- access systems, accounts, or data without authorization, or attempt to bypass security, rate limits, or API controls;
- scrape, crawl, mirror, resell, or create a substitute copy of Platform data at scale (unless expressly authorized in writing or through a valid API key and API terms);
- upload malware, spam, fake reviews, or content that infringes intellectual property or privacy rights;
- disrupt or impose unreasonable load on Platform infrastructure;
- use AI features in violation of applicable law or third-party rights.
10. Partner API
Authorized partners with E12-issued API keys may access public directory data only within permitted scope. API users must:
- protect API keys and respect rate limits;
- not use the API for unlawful, infringing, or competing substitute-directory purposes (unless otherwise agreed in writing);
- remain responsible for their applications’ treatment of end-user data;
- accept that E12 may revoke keys or restrict access for security or abuse reasons.
11. Intellectual property
E12 branding, interface design, software, compiled data structures, and original Platform content are protected by applicable intellectual-property laws. Except as expressly permitted in these Terms, you may not copy, modify, distribute, reverse engineer, or create derivative works. E12 names, logos, and related brand elements may not be used without permission.
12. Third-party services
The Platform may integrate or link to third-party services (including Cloudflare, email, geocoding, AI, vector search, and Stripe). Those services are provided by their respective vendors under their own terms and privacy policies. E12 is not responsible for third-party outages, errors, or data processing.
13. Disclaimer of warranties
To the fullest extent permitted by applicable law, E12 is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, or error-free performance. You use the Platform at your own risk.
14. Limitation of liability
To the fullest extent permitted by applicable law, E12 and its operators, directors, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from use of or inability to use the Platform, including loss of profits, goodwill, data, or business.
To the fullest extent permitted by applicable law, E12’s total liability for any claim shall not exceed the greater of: (a) the amount you paid directly to E12 for the relevant paid service in the twelve (12) months before the claim; or (b) one hundred Canadian dollars (CAD 100) or the Hong Kong dollar equivalent. Some jurisdictions do not allow certain exclusions or limitations, so some limits may not apply to you.
Governing law, venue, and dispute-resolution procedures must be finalized by counsel for the actual operating entity and primary markets.
15. Indemnity
You agree to indemnify and hold E12 harmless from claims, losses, liabilities, and reasonable legal fees arising from your violation of these Terms, misuse of the Platform, your user content, or infringement of third-party rights, to the extent permitted by applicable law.
16. Suspension, termination, and removal
We may restrict, suspend, or terminate accounts, remove content, disable API keys, or implement maintenance when reasonably necessary to protect users, investigate abuse, comply with law, or enforce these Terms. You may contact us to request account closure, subject to records we must retain for legal, security, audit, or dispute purposes.
17. Changes to these Terms
We may update these Terms from time to time. We will update the “Last updated” date on this page. For material changes, we will provide reasonable notice (for example through the Platform or registration flow). Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Platform and contact us to close your account.
18. General
- if any provision is held invalid, the remaining provisions remain in effect;
- failure to enforce a right is not a waiver of that right;
- these Terms, together with the Privacy Policy and any separately accepted paid terms, constitute the entire agreement between you and E12 regarding use of the Platform;
- if there is a conflict between language versions, the version finalized by counsel shall prevail.
